1. Purpose and Scope

This document establishes the governance framework for Yellow House Productions Pvt Ltd and its cultural heritage platform, Helixra. It defines the organisational structure, decision-making authority, ethical oversight mechanisms, and accountability principles that guide all activities related to the development, operation, and expansion of Helixra.

This framework applies to all operations of Yellow House Productions Pvt Ltd, its subsidiary and affiliated entities (The ROI Firm Pvt Ltd and Linseed Pvt Ltd), and all persons acting on behalf of those entities in connection with Helixra.

Yellow House Productions Pvt Ltd operates within a three-entity corporate structure designed to separate IP ownership, development, and licensing functions:

3. Leadership and Decision-Making Authority

3.1 Co-Founders

Hasitha Jayathilaka
CEO and Co-Founder. Responsible for strategy, institutional partnerships, compliance architecture, narrative frameworks, and IP governance. Primary signatory for institutional agreements.
Prabha Hewage
Director and Creative Director. Responsible for visual systems, design direction, heritage iconography, and creative production oversight.

3.2 Decision-Making Principles

All material decisions affecting Helixra require co-founder consensus. These include:

  • Any new institutional affiliation or partnership agreement
  • Any public claim regarding WIPO, UNESCO, or government relationships
  • Any modification to the TCE/TK attribution framework or copyright notices
  • Any commercial licensing of platform assets
  • Any engagement with knowledge-holders or community contributors
  • Any grant application or academic submission made under the Helixra or Yellow House brand

4. Institutional Relationships

4.1 Active Institutional Support

National Innovation Agency (NIA) Sri Lanka / TISC
The NIA, through its Technology and Innovation Support Center (TISC), provides strategic advisory support to Yellow House Productions in the areas of innovation, intellectual property, and commercialisation. NIA provides institutional endorsement; Yellow House is not a programme enrollee.

4.2 Responsible Representation

All public-facing materials, grant applications, and institutional communications must accurately represent Yellow House Productions relationships with external bodies. The following principles apply:

  • Only confirmed, active relationships are referenced in public materials
  • Relationships in development or informal in nature are not represented as formal affiliations
  • Participation in workshops or events does not constitute programme enrolment or credential
  • No relationship implies endorsement by a third party unless explicitly confirmed in writing by that party
These principles protect institutional credibility. Misrepresentation of external relationships is a material risk to grant eligibility, academic standing, and partnership trust. All team members and representatives must adhere without exception.

5. Heritage Ethics and Community Accountability

5.1 Core Ethical Position

Helixra is built on the principle that traditional games, cultural knowledge, and intangible heritage belong to the communities of Sri Lanka and the broader South Asian region. Yellow House Productions does not claim ownership over ancestral knowledge, gameplay traditions, or cultural expressions. This position is non-negotiable and applies to all activities of the company regardless of commercial context.

5.2 Applicable Frameworks

  • UNESCO 2003 Convention for the Safeguarding of Intangible Cultural Heritage
  • WIPO Intergovernmental Committee (IGC) principles on Traditional Cultural Expressions (TCEs) and Traditional Knowledge (TK)
  • Nagoya Protocol on Access and Benefit-Sharing (CBD) - as applicable
  • Sri Lanka IP Act No. 36 of 2003
  • Sri Lanka Personal Data Protection Act No. 9 of 2022

5.3 Community Consultation Obligation

Before publishing or archiving any new game, regional variant, or associated cultural knowledge, Yellow House Productions commits to:

  • Documenting the historical and community sources of the knowledge
  • Seeking input from relevant community representatives or knowledge-holders where identifiable
  • Maintaining a provenance record for all archived content
  • Providing attribution to contributors in accordance with their stated preferences

5.4 Benefit Sharing

Current benefit-sharing mechanisms include:

  • Free access - the platform is free to play for all Sri Lankans and global audiences
  • Attribution - all knowledge contributors are credited by name or as preferred
  • Cultural preservation - the archive itself is a primary community benefit
  • Revenue reinvestment - a stated proportion of commercial revenues is committed to further field documentation, community programmes, and traditional games activities

6. Oversight, Review, and Accountability

6.1 Internal Review

The co-founders conduct a joint governance review at minimum annually, covering:

  • Accuracy of all institutional claims and affiliations on public-facing platforms
  • Status of community consultation records and contributor agreements
  • Compliance with trademark registrations and IP filings
  • Alignment of platform content with UNESCO and WIPO framework positions
  • Review of any complaints or concerns raised by community members, contributors, or institutional partners

Any person who has a concern about Helixra's heritage practices, data handling, or institutional claims may contact:
